1.1 Acceptance of Terms

By accessing or using any products, services, or information provided by OGNOS   (PRIVATE) LIMITED, you agree to be bound by these terms and conditions.

2.1 Company

"Company" refers to OGNOS (PRIVATE) LIMITED.

 

2.2 Customer

"Customer" refers to any individual, entity, or organization purchasing products or services from the Company.

"Products" refers to chemical substances, compounds, mixtures, equipment, or any other goods offered by the Company.

3. Orders and Sales

3.1 Orders: 

All orders/services are subject to acceptance by the Company. The Company reserves the right to refuse any order/service. 

 

3.2 Product Specifications: 

Specifications, descriptions, and technical data provided by the Company are for informational purposes and may change without notice.

 

3.3 Pricing: 

Prices are provided in the Company's current price list and are subject to change without notice. Prices do not include taxes, duties, or shipping fees unless explicitly stated.

 

3.4 Payment: 

Payment terms are as specified by the Company. Payment is due upon the agreed terms and before product shipment.

 

4. Production 

4.1 Production payment: 

To commence production, an initial payment of 50% is mandatory, and upon receipt of the goods, the remaining 50% can be settled. 

 

4.2 Cancellation: 

If orders are canceled after production has commenced, the initial 50% payment will not be refunded. In the case of exclusively packaged products, cancellation would incur an additional charge of 5% of the total payment, which covers disposal expenses.

 

4.3 Timeframe:

OGNOS (PRIVATE) LIMITED requests a production and delivery timeframe of 2-3 weeks due to our sourcing of raw materials with the most recent manufacturing dates and the highest quality, which in turn extends the shelf life of our products. 5. Product Shipping 

5.1 Shipping within Sri Lanka: 

Shipping terms and fees are outlined in the Company's Shipping Policy. Delivery within Colombo, Sri Lanka comes with no additional cost. Shipments outside of Colombo, Sri Lanka, will incur a shipping fee. 

 

5.2 International Shipment: 

For international shipping, you have the option to arrange it through the company’s trusted international shipping agents, or you can opt to select your preferred shipping agents.

 

6. Product Use and Safety

6.1 Product Manual:

Every product is accompanied by a product manual that is designed for the client or customer's reference. This comprehensive product manual contains essential information such as safety guidelines, storage instructions, usage instructions, and important warnings. You can access all this information either through the client login portal on our website or by requesting it via email.

 

6.2 Responsibility: 

Customers are responsible for ensuring that the purchased products are used, handled, stored, and disposed of in compliance with applicable laws, regulations, and safety guidelines.

 

6.3 Liability: 

The Company shall not be liable for any damages, losses, injuries, or environmental impacts resulting from the improper use, handling, storage, or disposal of its products. 6.4 Recyclability: 

OGNOS (PRIVATE) LIMITED collaborates with recycling facilities across Sri Lanka and is committed to recycling expired or empty products returned by our clients or customers. It's important to note that we can only recycle products that we have manufactured, and any other materials received will be returned to the sender.

 

7. Warranties and Disclaimers

7.1 Product Warranty: 

The Company warrants that its products meet the specifications outlined in official documentation [Warrenty varies between products]. All other warranties, express or implied, are disclaimed. OGNOS (PRIVATE) LIMITED provides the client 3-day to inspect following delivery to identify any defective units that may have been shipped.

 

7.2 Customer's Responsibilities: 

Customers are responsible for verifying the suitability of the products for their intended applications.

 

7.3 Limitation of Liability:

In no event shall the Company be liable for any indirect, consequential, or incidental damages arising from the use or inability to use its products or services.

 

7.4 Defective products: 

In the event of defective units, we will replace them with new products upon receiving the initial product from the client or customer. Please note that the replacement timeframe may differ for each product.

 

8. Intellectual Property

8.1 Ownership: 

All intellectual property rights related to the Company's products, services, and content are owned by the Company.

 

8.2 Use: 

Customers are granted a limited, non-transferable license to use any intellectual property provided by the Company for the sole purpose of using its products.

 

8.3 Logos: 

The logos of OGNOS (PRIVATE) LIMITED are trademarked, and any unauthorized usage without prior notification will be deemed a violation of intellectual property rights.

 

9. Confidentiality

9.1 Confidentiality:

Both parties agree to treat any confidential information exchanged during the course of business as strictly confidential and not to disclose it to third parties without written consent.

 

10. Governing Law and Disputes

10.1 Laws and Disputes:

These terms and conditions are governed by the laws of Sri Lanka. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka

 

11. Modifications

11.1 Notification of modification:

The Company reserves the right to modify these terms and conditions at any time. Existing clients will be notified of any changes through the Company's official communication channels [An email along with a portal update, phone call, and WhatsApp message]
